Terms of Service

1. Service Description

AudioText is an AI-powered transcription platform that converts audio and video files to text. The Service includes speaker diarization, language detection, timestamped transcripts, and multiple export formats. AudioText is provided as a Software-as-a-Service (SaaS) accessible via web browser.

These Terms of Service ("Terms") govern your access to and use of the AudioText service. By creating an account or using the Service, you agree to be bound by these Terms.

2. Account Registration

• You must be at least 16 years of age to create an account and use the Service.
• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the security of your account credentials.
• You must promptly notify us of any unauthorized use of your account.
• One person or entity may not maintain more than one free-tier account.

You may register using email/password or through third-party authentication providers (Microsoft, Google, Apple).

3. Acceptable Use

You agree to use AudioText only for lawful purposes. You must not:

• Upload content that is illegal, defamatory, or violates the rights of others
• Upload audio or video for which you do not have the right to transcribe (e.g., recordings made without consent where required by law)
• Attempt to reverse-engineer, decompile, or circumvent any security measures of the Service
• Use the Service to process content that contains malware or harmful code
• Share your account credentials with unauthorized third parties
• Use automated bots or scripts to access the Service beyond documented API limits
• Resell or redistribute the Service without a written agreement

We reserve the right to suspend or terminate accounts that violate these guidelines.

4. Subscription & Billing

4.1 Plans

AudioText offers multiple subscription tiers (Starter, Pro, Enterprise) with varying features, file size limits, and retention periods. Current pricing and plan details are displayed on our pricing page.

4.2 Payment Processing

All payments are processed securely by Stripe. By subscribing to a paid plan, you authorize Stripe to charge your payment method on a recurring basis (monthly or annually, depending on your selection).

4.3 Auto-Renewal

Paid subscriptions auto-renew at the end of each billing cycle unless you cancel before the renewal date. You will be notified before renewal.

4.4 Cancellation

You may cancel your subscription at any time through the Stripe customer portal accessible from your account settings. Upon cancellation:

• You retain access to paid features until the end of your current billing period
• Your account reverts to the Starter (free) tier after the billing period ends
• Data retention limits will adjust to the Starter tier schedule (7 days)

4.5 Refunds

5. Intellectual Property

5.1 Your Content

You retain full ownership of all audio files you upload and all transcripts generated from your content. We claim no intellectual property rights over your content.

By uploading files, you grant AudioText a limited, non-exclusive license to process your content solely for the purpose of providing the Service (transcription, storage, and delivery).

5.2 Our Platform

AudioText and its original content (excluding user content), features, and functionality are owned by AudioText and are protected by copyright, trademark, and other intellectual property laws. The AudioText name, logo, and branding are our trademarks.

6. Data Processing

Your data is processed in accordance with our Privacy Policy, which describes:

• What data we collect and why
• How audio files are processed by Azure AI and OpenAI
• Data retention periods by subscription tier
• Your rights regarding your personal data
• Sub-processors involved in delivering the Service

By using the Service, you acknowledge and agree to the data processing practices described in our Privacy Policy.

7. Service Availability

We strive to provide a reliable service but do not guarantee 100% uptime. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Infrastructure issues beyond our control
• Force majeure events

We are not liable for any damages resulting from service interruptions.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• AudioText is provided on an "as is" and "as available" basis without warranties of any kind, express or implied.
• We do not warrant that transcriptions will be 100% accurate. AI transcription is inherently imperfect and results should be reviewed.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless AudioText from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Content you upload or process through the Service
• Your violation of these Terms
• Your violation of any applicable law or third-party rights

10. Termination

10.1 By You

You may delete your account at any time from your account settings or by sending a request to DELETE /api/profile. Upon deletion:

• All your audio files and transcripts are permanently deleted
• Your account information is removed from our systems
• Active subscriptions are cancelled

10.2 By Us

We may suspend or terminate your account if:

• You violate these Terms or our Acceptable Use policy
• Your account is used for illegal activities
• You fail to pay for a subscribed plan
• Continued provision of the Service to you is no longer commercially viable

We will provide reasonable notice before termination where possible, except in cases of severe or illegal violations.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the European Union and applicable local laws. Any disputes arising from these Terms or the Service shall be submitted to the competent courts of the jurisdiction in which the data controller is established.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes:

• We will update the "Last Updated" date at the top of this page
• We will notify registered users via email
• Continued use of the Service after changes constitutes acceptance

If you disagree with the updated Terms, you may close your account before the changes take effect.
